HUMAN MADE is acquiring UNDERCOVER for $3.6 MILLION
A surprisingly Small Price for UNDERCOVER
It became official yesterday, September 11, 2026 : HUMAN MADE is set to acquire 100% of UNDERCOVER for ¥538 million, with approximately ¥16 million in additional fees, bringing the total acquisition cost to ¥554 million roughly $3.6 million.
Yes, $3.6 million is obviously not a “small amount” of money. But when we’re talking about a brand as important and historically significant as UNDERCOVER, the figure raises a lot of questions.

Before trying to understand why the acquisition price is so low, I think it’s important to look at the very particular history behind this transaction. There’s a reason why it’s HUMAN MADE that is ultimately acquiring UNDERCOVER.
NIGO & JUN : A STORY THAT STARTED ALMOST 40 YEARS AGO
A quick reminder : NIGO is the founder of HUMAN MADE and Jun Takahashi is the founder of UNDERCOVER. The two studied at Bunka Fashion College in Tokyo around the same time in the late 1980s.
In fact, in a 2012 interview, NIGO said :
“Meeting Jun Takahashi was the most important thing I took from Bunka.” -Nigo
The two quickly became friends, and what happened next is legendary. In 1993, they opened the NOWHERE store in Harajuku, where some of the earliest UNDERCOVER and A BATHING APE pieces were sold, two brands that would go on to reshape the industry.

Alongside Shinsuke Takizawa of NEIGHBORHOOD, they helped give birth to the Ura-Harajuku movement, an underground subculture built around exclusivity, word of mouth, collaborations and self-expression rather than the traditional fashion system.
Whether we’re talking about NIGO or Jun, both remain hugely important figures in fashion today. So this isn’t just a simple business transaction. There are more than three decades of shared history behind it.

WHO ACTUALLY OWNS UNDERCOVER AND HUMAN MADE ?
A little more context on the transaction : Jun Takahashi currently owns 80% of UNDERCOVER, while his brother Hiroshi owns the remaining 20%. This will remain the case until the share transfer is completed, which is currently scheduled for February 2027. HUMAN MADE will then own 100% of the company.
HUMAN MADE, meanwhile, isn’t entirely owned by NIGO. In fact, NIGO hasn’t been CEO of HUMAN MADE since January 2024. He remains its founder, largest shareholder and Creative Director.
To get into the details, NIGO controls around 46% of HUMAN MADE, directly and through his company NIGOLD. NIGOLD owns 42.42%, while NIGO personally owns another 3.61%, giving him an effective stake of approximately 46.03%. He remains by far the company’s largest shareholder.
And the second-largest shareholder is none other than Pharrell Williams, with an 18.15% stake.

Now that the context is clear, we can come back to the big question : why such a low price ?
Is Jun simply giving his longtime friend a great deal ? Or is NIGO helping Jun, who may have wanted to sell or step away from the business ?
The reality is probably more complicated.
WHY IS UNDERCOVER WORTH “ONLY” $3.6 MILLION ?
To understand the price, we need to look at the numbers.
For the fiscal year ending June 2026, UNDERCOVER generated around $24 million in revenue, but only $430,000 in operating profit, representing an operating margin of approximately 1.8%.
In other words, UNDERCOVER sells a significant amount of product, but generates relatively little profit from its core operations.
Put simply, for every $100 worth of product UNDERCOVER sells, only around $1.80 remains as operating profit after the costs required to run the business.
That helps explain why an acquisition price of $3.5 million before fees can be so low compared with UNDERCOVER’s reputation and history.
The cultural value of UNDERCOVER is enormous. Its profitability, however, is currently very low.
And this is probably where HUMAN MADE sees the opportunity : to better monetize UNDERCOVER’s cultural relevance without necessarily reinventing the brand itself.
In fact, HUMAN MADE has already outlined plans to improve UNDERCOVER’s business, including developing more directly operated stores, strengthening its own e-commerce operation and reviewing its overseas wholesale network. Its stated five-year goal is to bring UNDERCOVER to around $33 million in annual sales with an operating margin of approximately 20%.
HUMAN MADE IS PLAYING IN A VERY DIFFERENT LEAGUE
To understand the difference in financial power between the two companies, HUMAN MADE is not only significantly bigger than UNDERCOVER, it is also much more profitable.
For the fiscal year ending January 2026, HUMAN MADE generated around $94 million in revenue, with $30 million in operating profit, and around $19 million in net profit.
HUMAN MADE’s market capitalization is currently around $900 million.
That puts the acquisition into perspective : a company valued at close to $1 billion is spending only around $3.6 million to acquire 100% of one of Japan’s most culturally significant fashion brands.
WHAT HAPPENS TO UNDERCOVER NOW ?
UNDERCOVER is one of the brands that has influenced me the most. We’ve talked about it a lot on Kolroy, some of its runway shows are genuinely iconic, and the universe Jun has built over all these years is incredibly rich.

The last UNDERCOVER show that really struck me was Spring 2024. Since then, though, I personally feel that the brand has become less impactful. And if we’re being fair, today we probably talk about UNDERCOVER’s incredible archives more often than we talk about what the brand is doing right now.
Considering the very low margins UNDERCOVER has generated in recent years, its financial situation can partly explain such a low acquisition price. But even with that context, $3.6 million still feels surprisingly low considering the history, cultural relevance and potential of the brand.
There may also be a much more personal dimension to the deal. Maybe Jun simply wants to gradually step away from the business side of UNDERCOVER and would rather hand it over to someone he has known and trusted for more than 30 years : NIGO.
For now, that remains speculation.
What we do know is that Jun isn’t disappearing from UNDERCOVER. Under the planned structure, he is expected to step away from day-to-day management and continue focusing on the brand as its head designer, while HUMAN MADE takes greater responsibility for the business side.
